• Enforcement phase

– The SEC gives the defendant a Wells notice
– The defendant has a month to reply and to submit a brief argument against sanctions

– Formal enforcement action

– Civil action in federal courts or administrative hearing

• SEC investigations become public

– when the defendant discloses the investigation in a report,

– when the SEC files a court action, or

– when the SEC begins an enforcement action.
