Foreign Corrupt Practices Act (FCPA)

Overview

• The FCPA was enacted in 1977 to address the following:

– Bribery of foreign officials

– Recordkeeping for SEC regulated companies

• The FCPA is jointly enforced by the SEC and Department of

Justice

• Penalties for individuals and organizations include significant fines

and prison sentences

• Beginning in 2006, enforcements increased dramatically

• Other countries have laws with a similar effect to the FCPA
