 COMPENSATION COMMITTEE MINUTES (DRAFT) MARCH 19,2023 Members Present: I. King Jordan, Chair; Bea Awoniyi, Mike Miller, and Sherry Salway Black
The meeting was called to order at 2:00 p.m.
1. Approval of Minutes
The minutes of the December 10, 2022 meeting were approved as circulated.
2. Business arising from the minutes.
There was no business arising from the minutes.
3. Health/Medical Benefits for Staff in 2023
The 2023 premiums were not available in December so the Committee approved the costs as presented given the final numbers be provided at the March meeting. Those costs were provided at the meeting and the committee approved those costs and notes presented in the chart. There were not any significant increases.
4. Other Business
The Committee Chair gave an update on an item presented to him by the Board Chair. It had come to the attention of the Board Chair that the CEO’s wife was not covered under the CEO’s health insurance. The Committee members discussed this and provided information on what other non-profits including private and other foundations, provide for their CEO in terms of compensation. Findings indicate that there are widely varying policies on who pays for the coverage of a spouse/domestic partner and dependents. What is consistent is that spouse/domestic partner and family are eligible to be included in the CEO employee’s health insurance coverage. The JSF Personnel Policies, provided in the March 20 Board Meeting Folder on Diligent (Page 15 of the policies and Page 43 of Diligent) states: “The Foundation pays 100% of the premium of the health insurance (for the employee). An employee may include immediate family members by paying an additional dependent premium......”
The Committee Chair will follow-up with the Board Chair prior to the Tuesday Board meeting and then will present to the Board a summary of the Committee’s discussion.
The meeting was adjourned at 2:35 p.m.
The next scheduled meeting is September 10 in Chicago, IL. Respectfully submitted March 19, 2023.
