GOVERNANCE & NOMINATING COMMITTEE MINUTES (DRAFT)
March 20, 2023
Members Present: Bill Corwin, David Blaikie, Malcolm Macleod, Mike Miller, Bobby Krause (non-voting)
Other Present: Sharon Wood Bill chaired the meeting.
1. Approval of Minutes of September 2022 and October 2022 meetings
Minutes from both meetings were approved as presented.
2. Matters arising from the Minutes
Malcolm and Mike spoke to their lunch with Cathy Yanosik. They told her that she was being considered to be added to the list of potential candidates for the JSF Board. She responded that she would be delighted to be included in the list. She expressed that her children have now left the home and her husband (who is 10 years older) will be retiring soon. David noted that her husband is also a stellar member of the community. Both Malcolm and Mike felt that Cathy would be a terrific candidate for the JSF Board.
3. Potential Board Member
All members of the Committee expressed their opinions that Angelique Albert would be a great addition to the JSF Board of Directors:
• Strong background of association with JSF including as a Gonzaga MBA-AIE graduate, working with the endowment that was built at Salish Kootenai College, and as the CEO of Native Forward Scholars Fund (“NFSF”)
• Has had commendable success in building NFSF including its rebranding from American Indian Graduate Center; it was noted there is a very healthy organizational culture at NFSF
• Strong connections in Indian Country (a “power player” like Sherry) with a very positive image and reputation
• Female; 52 years old; Native American
• Team player; humble; grounded
• Smart; articulate
• Comes highly recommended by Rick Williams
The Committee agreed to recommend to the Board that Angelique Albert be elected to be a Director of the Johnson Scholarship Foundation for an initial term of 3 years.
Pending Board approval, Malcolm as Chair of the Board will be the one to extend the invitation to Angelique. Lady and Hannah will then contact her regarding a press release.
4. Next meeting – September 11, 2023 in person in Chicago, Illinois
