GOVERNANCE & NOMINATING COMMITTEE MINUTES (DRAFT) (3) INTERVIEW OF SHERRY SALWAY BLACK

The Committee discussed Sherry’s performance as a board member and her responses to the director survey. The group agreed that her commitment and performance have been outstanding. Her knowledge of Native American / Indigenous programs and her extensive network of connections in Indian Country have been tremendously helpful with regard to both the knowledge and the credibility of JSF in its attempts to support organizations in this focus area. More broadly, Sherry is extremely well prepared and contributes thoughtful and insightful input in all of her committee roles. Her attention to detail is exceptional as well. Sherry’s comment about this likely being her last term was discussed; if this will be her last term, then the addition of Angelique is particularly timely.
Sherry then joined the meeting.
The Committee praised Sherry for her excellent work as a Director. Sherry and the Committee then reviewed her evaluation responses and had an extended discussion regarding her comment that at times some of the Grant Program Committee‘s discussions ran short on time. Several options for addressing this were discussed, and it was ultimately agreed that Malcolm would ask the Board at its upcoming meeting whether there were any topics related to grantees or other issues stemming from the Grant Program Committee meeting that anyone wanted to discuss.
Sherry indicated her interest in staying on the board for another term, and reiterated her comment in the survey that this would likely be her last term, which would end when she was 73. Sherry then left the room.
The Committee agreed that Sherry’s performance as a Board member has continued to be exceptional, and the GNC voted unanimously voted to recommend to the Board that Sherry be renewed as a Director for another three year term.
Sherry returned to the meeting and was informed of the GNC’s recommendation.
