Board of Directors’ meeting minutes
March 22, 2022
Members Present: Malcolm Macleod, Bea Awoniyi, Sherry Salway Black, David Blaikie, Hugh Brown, William Corwin, Mike Miller,
Robert Krause (non-voting)
Others Present: Richard Krause, I. King Jordan, Jr., Sharon Wood
Malcolm chaired the meeting.
1. Approval of Minutes
Minutes of the December 4, 2021 meeting had been circulated and were approved as presented.
2. Business Arising from the Minutes
There were no matters arising from the Minutes.
3. Organizational Matters
A. Governance documents
The Governance Task Force was commended for a good job done.
1) Committee charges
The Board unanimously approved the Committee charges as presented.
2) Board job descriptions
The Board unanimously approved the Board job descriptions as presented.
3) New Board members
The Board unanimously approved the New Board members materials as presented.
B. Policies
1) Director Discretionary Grants
The Grant Program Committee voted to recommend that the amount of allowable discretionary grants be increased from $15,000 per year per Director to $25,000 per year per Director.
The Board unanimously approved the first bullet point of the Directors’ Discretionary Grants Policy to read: “A Director may request Discretionary Grants not to exceed $25,000 per year.”
2) Matching Grants
The Grant Program Committee voted to recommend that the amount of allowable matching grants be increased from $7,500 per year per Donor to $10,000 per year per Donor.
The Board unanimously approved the first bullet point of the Matching Grant Policy to read: “The total eligible for potential matching is $10,000 per Donor per year.”
3) Entrepreneurship Scholarship Program
The Grant Program Committee voted to recommend that the definition of allowable tribal status for students be revised to include Native Americans which includes American Indians, Alaska Native and Native Hawaiian peoples from both federal and state recognized tribes, and Indigenous Peoples from First Nations in Canada. It was pointed out that First Nations are not the only tribes in Canada.
The Board unanimously approved revising Item 2.a. in the Entrepreneurship Scholarship Program Policy Statement to read: “Be Native Americans which includes American Indians, Alaska Native and Native Hawaiian peoples from both federal and state recognized tribes, and Indigenous Peoples of Canada.”
