                 Stakis operates hotels, casinos, and health clubs

                 throughout the British Isles. The leisure company

                 generates about 75% of its sales through its hotel
                 division, which includes more than 50 three- and four-

                 star hotels. Most of its hotels offer "Assured Meeting"

                 rooms, which provide technical equipment, supplies, and
                 food and beverage services for small meetings or

                 conferences. In addition, the company operates about 20

                 casinos and more than 60 Living Well health and leisure

                 clubs. About 80% of the Living Well clubs are located in
                 the company's hotels. In 1999 Stakis agreed to be

                 acquired by betting shop operator Ladbroke Group.



                 Hilton UK managing director, Anthony Harris said the
                 acquisition of Stakis had presented the company with an

                 opportunity to create a portfolio offering customers a

                 premium choice.
                 "All the hotels concerned are profitable, successful units

                 and we can be proud of the achievement of their

                 management and staff. This has been a difficult selection

                 process but we have concluded that we must take
