NOMINATING COMMITTEE

Prior to each Annual Meeting of the PCRB the Nominating Committee proposes a slate of
candidates selected from the nominations made by all PCRB members and other eligible
organizations for vacancies on the Governing Board and its Committees. The Nominating
Committee participated in one teleconference in 2015.

AD-HOC COMMITTEE

The Ad-Hoc Committee is responsible for identifying possible alternatives to a pro-rata
allocation of expenses between the Pennsylvania Compensation Rating Bureau and the
Delaware Compensation Rating Bureau, Inc. on the basis of premium writings. The Ad-Hoc
Committee is comprised of two members of the DCRB Governing Board and two members of
the PCRB Governing Board. The Ad-Hoc Committee did not participate in any meetings or
teleconferences in 2015.
