ARTICLE XVI
Effective Date

Any Amendment to these By Laws shall go into effect immediately upon
its adoption, unless the motion to adopt the amendment specifies
another time for the amendment to become effective.

ARTICLE XVII
Parliamentary Authority

The Ivy Educational and Charitable Foundation of Houston,
Incorporated, shall be governed by the latest edition of Robert’s Rules
of Order in all matters not provided for in these bylaws.

Article XVIII
Election Guidelines

Section 1
1. The By - laws of the Ivy Educational and Charitable Foundation
of Houston, Inc., Article VI, Section 2, states the Board of
Directors shall be elected by the members of the Foundation to
serve for staggered terms of (2) years each. Only active
members are eligible to vote. Board members can serve no more
than two (2) two (2) year elected terms.

2. A plurality vote shall be required for election to office. Only the
vote of members present at the meeting shall be counted.

3. After the Nominating Committee has presented its report, the
Chair must call for nominations from the floor before voting takes
place.

4. The Board consists of seventeen (17) members. Six (6)
members are automatic based on incumbent elected offices and
eleven (11) are elected by the Foundation (Article VI, Section 2,
2A).
