               While we believe wholeheartedly in the policies, practices, programs, and procedures described in
               this Handbook, they are merely intended as  guidelines. Your employment is at-will and the
               information contained in this Handbook does not create  any expressed or implied contract,
               commitment, or promise of any type by either you or the Company, nor does it change the right of
               either you or the Company to end the employment relationship at any time, with or without cause,
               and with or without notice. No person other than Lupin’s Chief Executive Officer or her assigned
               delegate has any authority to make any agreement for employment for any specific period of time
               or to make any agreement contrary to the foregoing; any such agreement to create an employment
               relationship that is not at-will, if made, must be in writing and signed by the CEO or her assigned
               delegate.  Any other written or oral statement to  the contrary, even if  made by a supervisor,

               This Handbook overrides, supersedes and replaces any former or existing employee handbooks,
               manuals, and policy statements  of  Lupin  concerning employee conduct, or any other written
