AFFIRMATIONS AND DISCLOSURES :
a. Compliances with Governance Framework - The Company is in compliance with all mandatory
requirements under the Listing Regulations.

The Company has followed the Guidelines of Indian Accounting Standards laid down by the Central
Government and The Institute of Chartered Accountants of India (ICAI) in preparation of its financial
statements.

The Company has been complying with applicable Secretarial Standards issued by the Institute of
Company Secretaries of India, a Statutory Body.
b. Related party transactions - All transactions entered into with the Related Parties as defined under the
Companies Act, 2013 and Regulation 23 of the Listing Regulations during the financial year were on
arm’s length basis and do not attract the provisions of Section 188 of the Companies Act, 2013. There
were no materially significant transactions with Related Parties during the financial year. Related party
transactions have been disclosed under significant accounting policies and notes forming part of the
Financial Statements in accordance with “IND AS”. A statement in summary form of transactions with
Related Parties in ordinary course of business and arm’s length basis is periodically placed before the
Audit committee for review and recommendation to the Board for their approval.

As required under Regulation 23(1) of the Listing Regulations, the Company has formulated a policy on
dealing with Related Party Transactions. The Policy is available on the website of the Company viz.

None of the transactions with Related Parties were in conflict with the interest of Company. All the
