Article 191
                                   Appointment of a Liquidator
                 (1)  In  partnerships,  liquidation  shall  be  carried  out  by  all  partners  or  by  an
            unanimously  nominated  liquidator.  Where  a  partner  has  more  than  one  heir,  a  joint
            representative  shall  be  appointed.  Should  the  partners  fail  to  submit  to  the  National
            Registration Centre that all of them will be liquidators or fail to appoint a liquidator
            within 30 days after dissolution, any interested person may request the competent court
            to appoint a liquidator.
                 (2) In limited liability and joint stock companies, liquidation shall be carried out
            by  a  liquidator  appointed  by  the  General  Meeting.  If  the  General  Meeting  fails  to
            appoint  a  liquidator  within  30  days  after  the  dissolution,  any  interested  person  may
            request  the  court  to  appoint  the  liquidator.  Paragraph  6  of  Article  91  applies
            correspondingly.
                 (3) Any interested person as of paragraphs 1 and 2 has the  right to request the
            court to replace the liquidator appointed by the partners or the General Meeting if he
            shows sufficient reasons that the liquidation objective might be impaired by him. The
            request to the court must be filed within 30 days of the appointment by the partners or
            the General Meeting.

                                          Article 192
                         Appointment of a Liquidator in Dissolution by the Court
                 If the company is dissolved by a court decision, the court appoints the liquidator.

                                          Article 193
                                    Dismissal of the Liquidator
                 (1) The liquidator is dismissed and replaced in the manner specified in the same
            way he has been appointed.
                 (2) Any claims to compensation arising from any contractual relationship are to be
            governed by the general civil law.

                                          Article 194
                              Entry in the National Registration Centre
                 (1)  The  Managing  Director  will  submit  the  name  of  the  liquidator  and  his
            authority  to  represent  the  company  together  with  corresponding  documents  to  the
            National  Registration  Centre  in  accordance  with  Article  43  of  Law  No.  9723  on  the
            National Registration Centre. The liquidator shall deposit his signature. He shall report
            each  change  with  respect  to  their  identity  or  power  of  attorney.  Appointment  of  a
