This DEED OF SALE is made today the 24'h day of May,2000

BETWEEN M/S Manipur Golden Travels Pvt. Ltd., Imphal represented by
Sri Kulwant Singh Cheema, Managing Director, (hereinafter called "the
Vendee") of the one part. AND

Shri Wahengbam Manichou Singh, S/o late Kartik Singh of Changangei,
Irnphal, Manipur (hereinafler called "the Vendor") of the other pan.

Whereas, the above named Vendor, Shri W. Manichou Singh is the
absolute owner and recorded pattadar of the phourel class land under New
patta No.643 covered by C.S.Dag No. 1215/1525 having an area of .23 (point

twenty three) acre of Village No. 78-Changangei, Imphal West Tahsil
situated at Changangei which is morefully described in the schedule
appended hereunder.

And whereas, the Vendor is willing to sell the above mentioned phourel
class of land and the purchaser has agreed to the proposal on the following

terms and conditions that is to say.
