How the Board

is assembled

Board of Director elections take place by a
majority vote of charter members. Each
charter member may cast one vote.

The Board of Directors consists of nine
charter members representing, one of each
of the following segment of membership:
MA State University, Large Private
Institution, Small Private Institution,
University of MA State System and MA
Community College.
The remainder of the seats are filled with
two each of the following segments of LITA ADAMS
membership: Private Membership at Large
and Public Membership at Large.
Springfield College
At the discretion of the Board, at-large, non-
voting members may be appointed for a Large Private
one-year term.

There must be no less than six directors
from Massachusetts schools. Term Expires: June 30, 2019
Directors must be employed at a charter
member institution.

The Chair and Vice-Chair of the Board of
Directors are appointed by the board
members.
Directors may serve for two consecutive
three-year terms. The Chair and Vice Chair
may only serve two 2-year terms (max four

Other Board roles:
Treasurer: Shall be filled by a board member UMass Dartmouth
who will also serve as the Chair of the Public at Large
Finance Committee.

Secretary: Will assist the Board and provide
written record of all meetings. Term Expires: June 30, 2021
Definitions:

Large school: Student population ≥ 5000 FTE
Small school: Student population < 5000 FTE

No member of the board shall receive any
remuneration for his or her services to the
consortium.
