Corporate Transactions
Sheppard Mullin attorneys again played a role in connection with some significant corporate deals in 2015, including:
• Represented Banijay Group in its acquisition of Stephen David Entertainment (“SDE”). SDE is known for its non-scripted and scripted documentaries, including series such as “The Men Who Built America” and “The Making of the Mob.” This deal marks the latest purchase by Banijay Group, a French content company, which bought Bunim/Murray Productions in 2010.
• Represented Relativity Media and its affiliates in a variety of domestic and international debt and equity financings and in separate joint venture transactions with B4U, a leading Bollywood film and television network, and EuropaCorp Films USA, Inc.
• Represented AwesomenessTV in connection with a multiyear deal with Verizon for more than 200 hours of original content to be available to wireless subscribers through two mobile channels in the U.S.: the AwesomenessTV channel, aimed at teens and young millennials; and the family-oriented DreamWorksTV, which will feature both live-action and animated short- form content.
• Represented New Enterprise Associates in its Series A investment in Goop International Holdings Inc., a lifestyle brand providing digital content and commerce founded by Gwyneth Paltrow.
• Represented Daniel J. Edelman, Inc. in connection with a joint venture with United Talent Agency, LLC to launch United Entertainment Group. UEG advises, develops and implements marketing strategies, campaigns and programs for brands by leveraging entertainment, sports and celebrity-related content.
• Represented advertising agency Protagonist and its owner Matti Leshem in the formation of Cobalt (Co27), a digital and TV studio/joint venture between Protagonist and PepsiCo. Also represented the newly-formed Co27 in the negotiation of production and financing deals for “Built to Fail” a documentary on the fashion industry, “Contest Kings” a reality TV pilot about two guys who spend their life participating in contests around the country, and the network agreement and production agreements and clearance issues respecting “#Hashtaggers” fka “Twitwits” a series produced for E!.
• Represented The Playlist Generation, LLC in the contribution of its assets to Sauce Industries, LLC, d/b/a Gray V.
• Represented World Poker Tour (WPT) in connection with a deal that resulted in OurGame’s purchase of WPT from Bwin.Party.
