spouse of a deceased Member, or the son or daughter of a voting Member. Any such application
            by a spouse, son or daughter shall be placed at the head of the waiting list and shall be given first
            priority, (except for others similarly situated).

                 3.2.4. Voting Membership. Such Memberships shall include - the Equity Memberships,
            with exception of those members electing exemption under Article 5.1 (a) hereunder.

                 3.2.5. Non-equity Membership. Temporary Non-equity Memberships shall include all
            Memberships other than voting Memberships.

                 3.2.6. Divorced Members. In the event of a divorce, the membership in the Club shall
            remain  in  the  name  of  the  person  who  was  approved  by  the  Board  for  membership,  unless
            decreed otherwise by terms of the divorce and approved by the Board. The remaining party may,
            within six (6) months apply for membership in the Club, and if approved by the Board, become a
            Member, upon the payment of the appropriate initiation and other fees and the purchase of a
            Certificate of Membership.


                                        ARTICLE IV
                    RESIGNATION, SUSPENSION AND EXPULSION

                 4.1. Resignation of Membership. A Member may resign by written notice to the Club. If
            the  resignation  notice  is  received  by  the  Club  before  the  sixth  (6th)  day  of  the  month,  the
            resignation shall be effective the last day of the same Month. If the resignation notice is received
            by the Club on the sixth (6th) day of the month or after, then the resignation shall be effective on
            the  last  day  of  the  month  succeeding  the  month  of  receipt.  To  be  effective,  the  notice  of
            resignation must be accompanied by tender to the Club of the Membership Certificate held by
            the Member, if any, properly endorsed to the Club, and payment in full of all open accounts with
            the Club, after which the resignation shall become effective and all privileges of the Club shall
            terminate. Should the resigning Member be delinquent, the Board, at its discretion, may accept
            the  resignation  and  use  such  collection  remedies  as  are  provided  in  these  By-laws  or  as  are
            otherwise necessary  in its  absolute discretion  including, but not  limited to,  the right of offset
            against  any  refund  or  redemption  proceeds,  if  any,  due  the  Member  upon  surrender  of  a
            Membership Certificate. All such remedies shall be cumulative and the use of any remedy shall
            not be deemed to be an election to forebear the pursuit of any other remedy.


                  4.2. Suspension or Expulsion. Any Member may be suspended of expelled by the Board for
            non-payment of indebtedness to the Club over thirty (30) days. For any other cause, a Member may
            be expelled or suspended or other appropriate action may be taken (including, but not limited to,
            fines or reprimands), by a vote of two-thirds (2/3rds) of all the Members of the Board.

                  4.3. "Cause" Defined. The term "cause" for purposes of paragraph 4.2 hereof, shall include,
            but not be limited to, disorderly conduct at the Club; conduct endangering the good order, welfare or
            character of the Club; violation of these By-Laws or the Rules and Regulations promulgated by the
            Board; and being deemed "financially irresponsible" as defined in paragraph 5.5 of these By-Laws.
