appointment of such Board Member shall be for the period of time remaining until the net annual
meeting of the Club, at which time any vacancy for which an unexpired term remains shall be
filled by election. If any Board Member is absent from three (3) consecutive Board meetings, the
Board may remove him or her and declare a vacancy.

8.9 General Manager. The General Manager shall manage the affairs, direct the work
and employees of the Club, subject to, and in accordance with, the direction of the Board, acting
through the President, who will exercise supervisory authority over the General Manager. The
General Manager shall prepare budgets of expenses and capital refurbishment and replacement
for approval of the Board, and shall be authorized to incur expenses and capital expenditures in
accordance with the approved budgets, or as directed by the Board. The General Manager shall
attend all meetings of the Board and shall be an ex officio member of all Committees. The
General Manager shall make reports of work and affairs of the Club to the President, Board and
at membership meetings, as requested by the President.

8.10 Bond. The Board may require that any one or more Officers, Board Members or
,
other Club employees be bonded in amounts determined by the Board. The cost thereof shall be
paid by the Club.

ARTICLES IX COMMITTEES

9.1 The Nominating Committee.

(a) The Board of Governors shall, ninety (90) days prior to the annual Member's
meeting, appoint a Nominating Committee of five (5) persons. The five persons appointed along
with the President and the Past President will make up the Nominating Committee. The
individual members of the Nominating Committee shall be ineligible for nomination by the
Nomination Committee (excluding the President and Past President) for service on the Board.

The Nominating Committee shall prepare a list of three (3) nominees for election to the Board.
Not less than forty-five (45) days prior to each annual meeting, the Nominating Committee shall
make a written report to the voting membership of its nominations by mailing or emailing, if a
Member has elected to receive notice in that manner, a copy to each voting Member of the Club
and by posting copies thereof in the Club. Accompanying the report will be a listing of current
Members of the Board and Officers of the Club. The Nominating Committee shall nominate one
(1) nominee for each position to be filled at the next annual meeting including any vacancy on
the Board.

(b) After the written report of the Nominating Committee is mailed or emailed
to the voting membership and posted in the Club, further nominations may be made by petition
of voting Members, addressed to the Chairman of the Nominating Committee, containing the
signatures of fifteen (15) or more voting Members and requesting that a particular Member be
nominated, in addition to the nominations previously made. The additional nominations may equal
but not exceed the number nominated by the Nominating Committee. Each petition shall only contain
one (1) nominee. Such petition or petitions must be received by the Chairman of the Nominating
Committee at least fifteen (15) days before the day of the annual meeting and must contain the
