at the request of the Club as a Governor, officer, employee, or agent of another club, partnership,
joint venture, trust or other enterprise. Such persons shall be indemnified against expense (including
attorneys' fees), judgments, fines and amounts paid in settlement actually and reasonably incurred by
him or her in connection with such action, suit or proceeding, including' advance expenses incurred
therewith. The Club shall reimburse any indemnified party for reasonable costs, expenses and
attorneys' fees incurred in connection with the enforcement of any right to indemnification granted
hereunder, to the full extent permitted by the Georgia Nonprofit Corporation Act.

ARTICLE XIII
FISCAL YEAR

The fiscal year of the Club shall be as defined by the Board.

ARTICLE XIV
CERTIFICATE OF MEMBERSHIP

Membership in the Club shall be evidenced by Certificates of Membership.

ARTICLE XV AMENDMENTS

The By-Laws may be amended at any regular or special meeting of the membership
provided written notice is given at least thirty (30) days prior to the regular or called special meeting
at which the vote is taken. A majority vote of a quorum of Members casting their eligible votes shall
be sufficient to make changes herein.

ARTICLE XVI
MISCELLANEOUS

16.1. Seal. The seal of the Club shall be in the following form: VALDOSTA COUNTRY
CLUB, INC., a Georgia Non-Profit Corporation. The seal may be used by causing it or a facsimile
thereof to be impressed or affixed or reproduced.

16.2. Gender and Number. All pronouns in these By-Laws shall be deemed to refer to
the masculine, feminine, neuter, singular or plural as the identity of the person or persons
referred to may require.

16.3. Captions. Captions and headings contained in these By-Laws are as a matter of
convenience. In no way should they be construed to define, limit or extend their scope, intent or
any provision hereof.
