We conclude that the Chancellor did not abuse his discretion in approving a full
settlement of the lawsuits challenging the MBO. The Chancellor correctly found that none
of the plaintiffs’ allegations had a high probability of success on the merits and that an
adequate consideration had been paid for their release. These findings are supported by
ample evidence on the record. Accordingly, the Order of the Court of Chancery is
affirmed.
