47. DETAILS OF FIXED DEPOSITS

The Corporation has not accepted deposits from public as envisaged under
Sections 73 to 76 of Companies Act, 2013 read with Companies (Acceptance of
Deposit) Rules, 2014.

48. RELATED PARTY TRANSACTIONS

There have been no materially signicant related party transactions between the
Company and the Directors, the Management, the Associate Company or the
relatives except for those disclosed in the nancial statements. Accordingly,
particulars of contracts or arrangements with related parties referred to in Section
188 (1) of the Companies Act, 2013 along with the justication for entering into
such contract or arrangement in Form AOC-2 does not form part of the report.

49. DETAILS OF KEY MANAGERIAL PERSONNEL WHO WERE APPOINTED OR
HAVE RESIGNED DURING THE YEAR

Shri Sanjay Gupta, Chairman and Managing Director has been entrusted with the
additional charge of Director (Finance) and he has been appointed as Chief
Finance Ofcer (CFO) and Key Managerial Personnel by the Board of Directors
with effect from 24.10.2019. Shri Amitabh Banerjee, Director (Finance) & CFO
ceased to be Key Managerial Personnel with effect from 13.10.2019 on
relinquishment of the post of Director (Finance) & CFO.

50. COMPLIANCES

50.1 During the last three years, there has been no instance of non-compliance by the
Corporation on any matter, related to the Companies Act, 1956 / 2013 or any
Corporate/Industrial Law. The guidelines issued by the Department of Public
Enterprises; Government of India have also been complied with. The Corporation
has complied with the Guidelines on Corporate Governance for CPSEs issued by
the Department of Public Enterprises, Government of India. The Corporation has
submitted Quarterly Compliance Report on Corporate Governance regularly to
the Ministry of Railways, Government of India.
