Employees must maintain the highest level of ethical standards.  What
             you say and how you act could be interpreted as that of the company.

             Individuals and Conduct Covered
                    These policies apply to all applicants and employees, whether
             related to conduct engaged in by fellow employees or by someone not
             directly connected to the Company (e.g., an outside vendor, consultant
             or customer).  Conduct prohibited by these policies is unacceptable in
             the workplace and in any work-related setting outside the workplace,
             such as during business trips, business meetings and business-related
             social events.

             Employee Conduct and Work Rules
                    The Company adopts this Employee Conduct and Work Rules
             Policy to ensure orderly operations and provide the best possible work
             environment. The Company expects employees and others who may
             from time to time be engaged to provide services, such as temporary
             personnel, consultants and independent contractors, to  follow these
             rules of conduct while on company premises, attending company
             functions, or otherwise performing work-related activity.

             In addition to maintaining and enforcing this policy to protect  the
             interests and safety of all employees, the Company complies with all
             applicable federal, state and  local laws and regulations concerning
             employer/employee rights and obligations.

             The Company is responsible for providing a safe and secure workplace
             and strives to ensure that all individuals associated with the company
             are treated in a respectful and fair manner. Though it is not possible to
             list all forms of behavior that are considered  prohibited  in the
             workplace, the following are examples of behavior that  would be
             considered infractions of the Company rules of conduct.

             1.  Theft or inappropriate removal or possession of property.
             2.  Working under the influence of alcohol or illegal drugs.
             3.  Possession, distribution, sale, transfer or use of alcohol or illegal
                drugs in the workplace, while on duty or while operating
                employer-owned vehicles or equipment.
