Our TERM SHEET today refers to the signing of the ASSET MANAGEMENT AGREEMENT (Doc.-Cod: AM-MGP-06-17-03-2025-26-11-1965) on March 27, 2025 and the

procedures agreed in further subsequent correspondence.

Between April 7 and 25, 2025, we held consultative discussions with selected network and business partners with the aim of selecting suitable contractual partners

with their performance profiles for the business purpose described in the ASSET MANAGEMENT AGREEMENT and bringing them together to form a CONSORTIUM for the

intended implementation of the business purpose.

Between April 25 and 30, 2025, the various performance profiles of the parties to the discussion were reviewed by our Compliance Department, the GLOBAL

COMPETENCE TEAM, and submitted in assigned reports to our decision-makers of the operational business platform, led by the BLUE OCEAN GLOBAL GROUP, for their

further decision-making.

During this period, the decision-makers of our operational business platform, based on the reports prepared, made corresponding recommendations to the decision-

makers of our higher-level holding platform, led by the BLACK MOUNTAIN GLOBAL GROUP, for their final decision.

review and decision-making.
