SPARK VENTURE PARTNERS LLC (referred to as “PARTY # 1”) BLUE OCEAN CONTINANTAL LLC (referred to as “PARTY # 2”)

Contract position - Provision of assets Contract position - monetization / capitalization of assets

Based on the signing of the contract, the parties agreed to implement the following business purpose:

o PARTY # 1 intends to monetize and subsequently further capitalize the following asset:
