General Terms & Conditions of
Application Development Training & Maintenance Agreement (ADTM)

This Agreement is made and entered into at Colombo on this day of <Agreement Signing Date> by
and between <Client Name> a company incorporated in the said Republic of Sri Lanka and having
its registered office at <Client Address> (hereinafter call as Client which term or expression as
herein used shall where the context so requires or admits mean and include the said <Client
Name> its successors and assigns) of ONE PART and Datamation Systems (Pvt) Ltd a company
incorporated in the said Republic of Sri Lanka and having its registered office at No 15, Shrubbery
Gardens, Colombo 4 (hereinafter call as Vendor which term or expression as herein used shall
where the context so requires or admits mean and include the said Datamation Systems (Pvt) Ltd
its successors and assigns) of the OTHER PART.
WITNESSETH
NOW THIS AGREEMENT WITNESSETH the terms, conditions, obligations, and covenants to be
observed and performed by and between the parties hereto viz;
1. PREAMBLE
1.1 The parties agree to the ADTM service on the following terms and conditions:
1.2 ADTM Services
In accordance with the terms of this ADTM service Agreement; Vendor will furnish the
Application Development, Training and Maintenance service also referred to as ADTM
1.3 The main objective of this document is to ensure that the project is delivered on time
and as per the client’s requirement.
2. SCOPE
The Vendor agrees to perform
2.1. All ADTM Services necessary to maintain the service level support services for the Client
2.2. To provide Application Development and Modifications to the software.
2.3. Training: To provide trainer to support training and training material on Software
Developed by Vendor.
2.4. Regular maintenance of support services at Client’s office to support Software
Developed by Vendor
2.5. The vendor and the client hereby agrees that all verbal communications will be
followed up by email including meeting minutes, request for modifications, error
reporting etc.
