1 — INTRODUCTION




                  Harrison Golf & Leisure Ltd (HG&L) has been formed to build and develop a Hot Shots
                  Centre on the Centurion Park golf course in Wallsend, Newcastle upon Tyne, which was
                  granted planning permission on 16 March 2021.


                  Hot Shots Newcastle will comprise a 235 yard golf driving range, a full service sports bar
                  and restaurant, three function rooms and a retail Golf Superstore. Each of the 54 driving
                  bays  will  be  fully  equipped  with  high  quality  golf  clubs,  ball  dispenser,  settee  style
                  seating, a high table and stools for the food service in the bays and two screens with
                  related software to run the fully digital ball tracker and associated games. The digital
                  offering  designed  for  young  and  old  as  well  as  those  new  to  golf  right  through  to
                  professionals.  Our  technology  provides  a  choice  of  animated  target  gaming,  world
                  renowned golf courses, analysis of shots for serious game improvement and club fitting.
                  In addition the neighbouring golf course is being redesigned to offer 6, 12 and 18 hole
                  options to improve access and inclusivity.

                  It will be equipped with radar driven, state-of-the-art ball tracking integrated with VR and
                  simulated gaming software.

                  Chief Executive, Phil Harrison, an experienced PGA Tour Professional and well known
                  businessman in the golf and hospitality sector, saw the opportunity to change the way
                  golf is perceived and open it to a much broader range of participants. He has formed an
                  experienced  and  professional  team  to  deliver  the  project  after  extensive  analysis  of
                  TopGolf centres in the UK and BigShots Centres in the USA.

                  TopGolf has been running three profitable golf centres on the outskirts of London for 10
                  years.  The  centres  comprise  of  a  full  length  golf  range  with  some  50  driving  bays
                  supported by a building offering a restaurant and bar, golf pro shop and event rooms.
                  Together  the  three  attract  some  940,000  visitors  a  year.  TopGolf  is  now  expanding,
                  planning an additional centre in Glasgow and is actively seeking sites elsewhere.

                  In  the  USA,  BigShots  is  a  golf  centre  developer  and  operator,  planning  to  develop  a
                  further 100 centres across the United States. Its centres will be similarly equipped to the
                  Hot Shots Centre.

                  The majority shareholder in BigShots is ClubCorp, an American corporation based in
                  Dallas and the largest owner of private Golf & Country Clubs in the U.S. with more than
                  200 facilities in its portfolio. In 2018, ClubCorp was acquired by Apollo, one of the largest
                  investment funds in the world. Hot Shots, however, is 100% owned by HG&L with its
                  independent  and  state-of-the-art  digital  technology,  architectural  designs  and
                  exceptional Food & Beverage packages.
