Section 4. President

                       The President shall be the Chief Executive Officer of the Association, and it shall be his
                       responsibility to supervise and coordinate the activities of the Association and to preside at
                       meetings of the Association and Executive Board. He shall appoint appropriate individuals or
                       committees for the conduct and activities of the Association and shall require reports from each,
                       as he deems fit. At the Annual Meeting of the Association, he may call upon a designated
                       representative of each Regional Chapter/Branch to report to the membership regarding the
                       activities of the Chapter/Branch during the past year. The President shall be an ex-officio
                       member of the Board of Directors of each Regional Chapter/Branch. The President, through
                       regular communication with the other officers of the Association, shall assure himself that the
                       responsibilities of the other officers are being properly fulfilled.

                       Section 5. First Vice President

                       In the absence of the President, the First Vice President shall be the Chief Executive Officer and
                       shall act as such. The First Vice President shall be ex-officio members of the Board of Directors of
                       each Regional Chapter/Branch. The First Vice President shall also act as the chairman of the
                       Finance Committee and the Resolutions Committee.

               3. We recommended the following draft SOP be established regarding the issuing  or withdrawal
                   of future Chapter and Branch Charters:

                       When considering a request for recognition, the Executive Board must be satisfied that the
                       applicant's proposed Constitution and By-laws are compatible with the Association's
                       Constitution and that the establishment of the proposed branch/ chapter is in the best interests
                       of the Association. In doing so and without limiting the factors which may be considered when
                       conducting such an assessment, regard shall be had to the following:
                       b. A clear reference must be made in  the applicant's Constitution to its relationship with the
                           Association and the Charter,  together with an undertaken to comply therewith;
                       c. The Constitution and By-laws must support the objectives of IAATI and must be compliant
                           with the ethical principles upon which IAATI is founded;
                       d. The Constitution must contain a provision that gives effect to Article 5, section 2 of the
                           Associations Constitution that requires that all amendments to the Branch/Chapter's
                           Constitution and By-Laws must be submitted to the Association for approval, prior to the
                           amendment(s) being implemented.
                       e. A provision to give effect to Article 4, section 4 of the Association's Constitution must be
                           included in the proposed Constitution and provide that the Association's President and First
                           Vice President are ex officio members of the Chapter/ Branch's Board and must
                           consequently be invited to attend all Board meetings and receive all board correspondence
                           and communications.
