6. Manager shall maintain an Association portal for online services, payments, documents,
communications, finances, news, minutes and other information.
7. The Manager shall assist the Board in acquiring and administering insurance policies described
in Association Documents.
8. Manager shall take such actions as may be reasonably required to comply with all laws, statutes,
ordinances, or rules of all appropriate governmental authorities.
9. Manager may identify and employ attorneys, accountants or such other experts and professionals
on behalf of the Association whose services are reasonably required by Manager and Association to effectively
perform its duties and comply with this Agreement.
C. Property Supervision Services:
1. Manager shall, with the assistance or guidance of the Association and its Board, cause Association
Property to be maintained, repaired, replaced or refurbished (Maintenance Services) as necessary. Manager shall
review those items of the operating and reserve budgets pertaining to the Maintenance Services and assist the
Association in identifying and retaining staff, services and supplies. Manager shall be reasonably available to
negotiate and supervise, at the direction of the Board and on behalf of the Association, maintenance and service
contracts that are needed by the Association.
2. The Manager shall routinely inspect the general appearance of the buildings and grounds to
determine whether the maintenance manager, staff and subcontractors are causing the Association Property to be
reasonably maintained in accord with specifications as agreed by the parties.
3. For any one item of Maintenance Services, the expense incurred may not exceed the sum of One
Thousand Dollars ($1,000.00) unless specifically authorized by the Board. However, Manager may make emergency
repairs involving manifest danger to persons or property, or immediately necessary for the preservation or safety of
the property or persons or required to avoid suspension of necessary services to the Association, irrespective of the
above limitation. Notwithstanding this authority as to emergency repairs, it is understood that the Manager will
collaborate with the Board as soon as practicable regarding emergency expenses. Manager will be paid an hourly fee
identified in Exhibit A as compensation for emergency calls.
4. The Association hereby grants access to the Manager to all Association Property to carry out the
functions and purposes set forth in this Agreement. Subject to the provisions of Association Documents, the
Association also grants to the Manager access to individual Units as may be reasonably necessary for maintenance
and other reasonable purposes. The Association shall indemnify and hold harmless the Manager from any claims,
demands, costs (including attorney's fees and costs), judgments, or lawsuits that may be brought against it or incurred
by the Manager by reason of the Manager exercising its right of access to individual Units as herein provided, except
as set forth in Article VI Insurance & Indemnity.
5. Manager shall assist the Association in obtaining professional personnel and services to repair
items in the Common Elements.
6. In response to emergency calls, an hourly fee will be due the Manager as set forth in the Billing
Schedule identified in Exhibit “A”.
7. Manager shall make regular visits to the property.
