You receive the following email from Chet Nolan, CEO:

Driving into work today I listened to the details of yet another corporate scandal. In many of these
cases, the story seems to be the same - that the CEO claims not to have known what was going
on. I’m sure that every Director of every company is thinking the same thing: “Would I have
known?”

It has made me think about the controls we have in place at Couchweb. For instance, are our
employees doing all the security checks we would expect them to when it comes to copyright
piracy? I am going to discuss my concerns with the rest of the Board. As CEO or directors we
cannot be party to every decision made in the company. But broadly speaking what should
Couchweb have in place to ensure employees are acting in the manner we would expect them to?

Can you email me your thoughts on the matter? I’m not looking for specific details of where we
need to improve - this is not an audit. I would like to use your email as a starting point for my
discussions with Board members.

I’m quite keen to get going on this so I’d like a response as soon as possible.
