DSR & DSM 92% BONUS PROGRAM


                          DSR will receive $100.00 for each month he/she achieves 92% current goal in
                   their accounts receivable.  This goal must be achieved a minimum of nine months in
                   order to be eligible for any bonus.  The DSR will also receive a 25% increase in their
                   bonus if they have not had any ($0) in bad debt write offs for the year.  The period will be
                   January 1, 2018 through December 31, 2018 (calendar year) with the DSR having to be
                   employed by Ben E. Keith Company on December 31, 2018 in order to be eligible.  The
                   DSR must have their own sales territory.  A DSR must attain a minimum of $2.5 million
                   in sales (Street, PA, and Bid) for the calendar year to be eligible for this program.  The
                   bonus will be paid annually in January of 2018.

                                                                        9 months =         900.00
                                                                        10 months =    1,000.00
                                                                        11 months =    1,100.00
                                                                        12 months =    1,200.00


                            DSM will receive as a bonus 10% of his team’s cumulative bonus.  Example, a
                   DSM has 10 DSR’s on his team and for the year their cumulative bonus totals
                   $12,000.00.  The DSM’s bonus would then be $1,200.00.  The period will be January
                   through December of 2018 with the DSM having to be employed by Ben E. Keith

                   Company on December 31  in order to be eligible.  The bonus will be paid annually in
                   January.


                           Annually a recognition award will be presented at the SRP banquet to a DSR based
                   upon the following criteria:
                       A.  Achieve the 92% current goal in all 12 months of the FISCAL YEAR (2018).
                       B.  Qualify to attend the Company SRP.
                       C.  Minimum of 60% of their sales must be ‘Street’ sales.
                       D.  No bad debt write offs.
                       E.  For the month of June, 2018 a DSR must achieve their Branch goal and have a
                          minimum of 50% of their accounts paying us via our Keith Online Payment
                          System.
                       F.  Has the highest Street Gross Profit percent of everyone that has achieved “A”,
                          “B”, “C”, “D” & E.
