REPRESENTATION
It is further agreed that the Distributor and its employees are the sole responsibility of
the Distributor and are in no way (either tacitly or by implication) to be seen to represent
the Manufacturer. The Distributor must familiarize itself/themselves with the terms and
conditions of this Agreement prior to commencing business.
CONFIDENTIALITY
The parties agree to keep all aspects of the business conducted between them strictly
confidential.
DURATION
This agreement will remain in effect in perpetuity, provided the Distributor does not
breach the terms of this agreement. Should a breach occur, the breach clause allows time
for Distributor to cure the breach.
TRAINING
The Manufacturer will provide a one-time personal training at the Distributor’s location
at no additional cost to the Distributor.
OPERATING SYSTEMS AND BUSINESS FORMS
The Manufacturer shall provide to the Distributor a full set of business forms that will be
required to successfully operate the business. All order books will be supplied from the
office of the Manufacturer. The Distributor shall be required to ensure that the levels of
stockholding for the administration forms are sufficient at all times.
ADVERTISING OF PRODUCTS
All advertising of the product must be approved by the Manufacturer in writing, which
approval shall not be unreasonably withheld, in so long as the required advertising is in
line with the Manufacturers advertising standards.
TERMS FOR ORDERING PRODUCTS
The Distributor shall be required to pay a deposit of 50% on each order when placing the
order. The balance must be paid in full prior to the Manufacturer shipping the order for
delivery to the Distributor. No Goods will be shipped until the order is paid for in full.
