                'Maximum  amount  of the grant': the maximurn  EU contribLltion to the action, as det'irred in Article
                1.3. r;

                'Pre-existing  material': any materials, document, technology  or know-horv which exists prior to the
                beneficiary  using it for the productiorr of a result irr the implementatiorr of the action;
                'Pre-existing  right': any industrial  and intellectual property  riglrt on pre-existing rnatelial; it rnay
                consist in a right of ownership,  a licence  right and/or a right of use belonging to the beneficiary or any
                other thild parties;

                         person': any natural or legal person who is a member  of the administrative  lnallagetnent  or
                supervisory  body of the beneficiary or who has powers  of representation, decision or control with
                regard to the beneficiary;

                'Starting date':  the date on which the irnplementation  of the action stafts  as provided for in Article
                r.2.2;

                'Subcontract':  a procurernent contract  within the meaning of Afticle Il.l0, which covers the
                irnplementation by a third party of tasks forming part of the action as described  in Annex l,

                ARTICLE II.2-  GENERAL  OBLIGATIONS  AND ROLES OF'THE  BENEFICIARIES


                II.2.1 General obligations  and role of the beneficiaries


                The beneficialies:


                (a)  are jointly  and severally  liable for carrying  out the action in accoldance  with the Agreement, If
                      a beneficiary  fails to implement  its parl of the action, the other beneficiaries become lesponsible
                      for implernenting  this part (but without iucreasing the ntaxirnum  antounl of'the grmt);

                (b)  must comply jointly or individually  with any legal obligations they are bound by under
                      applicable EU, international  and national law;

                (c)  must make appropriate internal arrangements to implement the action properly.  The
                      arrangements  must be consistent  with the terms of the Agreement. lf provided for in the Special
                      Conditions,  those arrangemeuts  must take the fornr of an internal cooperation  agreernent
                      between the benefi ciaries.

                II.2.2 General obligations  and role of each beneficiary

                 Each beneficiary  must:


                (a)  inform the coordinator  immediately  of any events  orcircumstances  of which the beneficiary  is
                      aware, that are likely to affect or delay the implementation  of the aclion;

                (b)  infonn the coordinator  immediately:
                      (i) of any change in its legal, financial.  technical,  organisational or ownership situation  and of
                         any change  in its name, address  or legal representative;

                      (ii) of any change in the legal, financial, technical,  organisational  or ownerslrip  situatiorr of its
                         affiliated entities and of any charrge  in their name, address or legal representative;

                      (iii)of any change regarding the exclusion  situations  listed in Article 136 o1'Regulation  (EU)
                         20 | 8/1046, including for its affiliated entities;
