the Act or any other applicable statute, or with the intent of this Declaration were adopted by the
Association. Amendments to the Bylaws may be adopted at any regular or special meeting.

                  9.5.2 Bylaws Provisions. The Bylaws may contain supplementary, not
inconsistent, provisions regarding the operation and administration of the Condominium.

                        ARTICLE 10. MANAGEMENT OF CONDOMINIUM

         10.1 Administration of the Condominium. The Unit Owners covenant and agree that
the administration of the Condominium shall be in accordance with the provisions of this
Declaration and the Articles of Incorporation and Bylaws of the Association which are
incorporated herein by reference and made a part hereof.

         10.2 Election and Removal of Board and Officers.

                   10.2.1 Election of Board By Owners. The Unit Owners shall elect a Board of at
least three members, at least a majority of whom must be Unit Owners. The Owners may agree
to increase or reduce the number of members who serve on the Board, but the Board must always
consist of an odd number of members, and no reduction in the number of Board members shall
have the effect of removing a Board member prior to the expiration of his or her term. Such
members of the Board shall take office upon election.

                   10.2.2 Election of Officers. The Board shall elect the officers of the Association.

                   10.2.3 Removal. The Unit Owners, by a two-thirds vote of the Owners, based on
the allocated voting percentage in Exhibit B, present and entitled to vote at any meeting of the
Unit Owners at which a quorum is present, may remove any member of the Board with or
without cause. The Board member whose removal has been proposed shall have the opportunity
to speak on his or her own behalf at the meeting called for that purpose. The Board may by a
majority vote remove any officer from his or her officer position with or without cause, but
removal from office will not result in an individual's removal as a Board member.

         10.3 Management by Board.

                   10.3.1 On Behalf of Association. Except as otherwise provided in the
Declaration, the Bylaws, Section 10.3.2 hereof, or the Act; the Board shall act in all instances on
behalf of the Association. In the performance of their duties, the officers and members of the
Board are required to exercise ordinary and reasonable care.

                   10.3.2 Not on Behalf of Association. The Board shall not act on behalf of the
Association to amend the Declaration in any manner that requires the vote or approval of the
Unit Owners pursuant Article 21, to terminate the Condominium pursuant to RCW 64.34.268, or
to elect members of the Board, to determine the qualifications, powers, and duties, or terms of
