Deal Introductions From Venture Partners

For all deal introductions which progress to Praetura investment,
we will undertake the following:

• All transactions will be assessed ‘as normal’ and a dedicated transaction
team introduced
Analysis
• We will ensure there is continuous engagement with the introducing
Venture Partner throughout the deal

• Praetura specialise in adding value through deal structuring. We will
work with Venture Partners and the management team to optimise the
Structuring investment structure
• Downside protections and investor-grade share rights will be included in
the transaction as standard

• Praetura will engage with all diligence providers and underwrite the cost
of the diligence reports
Diligence
• We will provide Venture Partners with access to diligence on transactions
which they introduce

• The introducing Venture Partner (or Venture Partners) will be offered
first opportunity to co-invest alongside Praetura, up to 15% of the total
Co-Invest
investment

• If not all 15% taken up, the opportunity to co-invest will be offered to
the wider Venture Partner panel
