                                  ABU DHABI OFF-SHORE CONCESSION
                  Concession Agreement between the Ruler of Abu Dhabi and D’Arcy Exploration
                                        Company, dated March 9, 1953
                      In the Name of God, the Compassionate, the Merciful.
                      This Agreement made and entered into on the twenty-third day of the month
                  of Jamad’i al Thani in the year One thousand three hundred and seventy-two of
                  the Hijrah, corresponding to the ninth day of March, One thousand nine hundred
                  and fifty-three of the Christian era, between His Excellency Shaikh Shakhbut bin
                  Sultan, Shaikh of Abu Dhabi (hereinafter called “ the Ruler,” and this expression
                  wherever the agreement requires shall include his successors and assigns) of the
                  First Part and Geoffrey Gilbert Stockwell on behalf of the D’Arcy Exploration
                  Company, Limited, of Britannic House, Finsbury Circus, in the City of London
                  (hereinafter called “ the Company,” which expression shall wherever the context
                  so requires include any Company to which this Agreement may be assigned
                  pursuant to Article 26 hereof) of the Second Part. Agreement has been reached
                  between the Ruler and the Company in the following manner.

                                                 Article 1
                      The expressions used hereinafter in this Agreement shall bear the following
                  meanings: —
                      (a) Ton means the English ton of 2,240 pounds.
                      ib) Discovery of Oil in commercial quantities: —
                      Discovery of oil in commercial quantities is defined as the time when a well
                  or wells are drilled, tested, and’found capable of producing no less than 2,000 tons
                  of crude petroleum of satisfactory quality per day, for thirty consecutive days,
                  according to good oilfield practice.
                      (c)  Payment: Payment of any and all sums due under this Agreement from
                 the Company to the Ruler shall be made in Sterling.
                     (d)  Calendar: The calendar followed in this Agreement is the Solar Calendar.
                     \e) Representative of the Ruler means the Head of H.E. The Ruler’s Repre­
                 sentation Office, the present Representative being a three-man committee composed
                 of Hazza bin Sultan, Khaled bin Sultan and Za’id bin Sultan.-      .   .
                     (f)  Territorial Waters: shall for the purpose of this Agreement be calculated
                      basis of three nautical miles from the mean low water spring tide level.

                     (g)  Oil means and includes crude petroleum, natural gas, asphalt and ozokerite
                 and all their products and cognate substances.
