SUPPLIER SERVICES AGREEMENT ADDENDUM - BUSINESS TERMS

This is the Supplier Services Agreement Addendum (this "Addendum") to the Supplier Services Agreement effective__,
20__ and as amended by the Supplier Services Agreement Addendum effective _____ ___, 20__ (collectively, the
"Agreement") by and between Centralized Supply Chain Services, LLC, a Delaware limited liability company (the "Co-op"),
for and on behalf of itself as well as its Selected Buyers (as defined in the Agreement) and ______ a ___state_____
___corporation/limited liability company___ ("Supplier"). All capitalized terms used, but not otherwise defined in this
Addendum shall have the meaning ascribed to such terms in the Agreement. The provisions below amend, delete or
supplement the Agreement as indicated and, upon execution by the Co-op and the Supplier, are automatically incorporated
into the Agreement pursuant to Section 2(a) of the Agreement. Except as otherwise modified by this Addendum, the
Agreement shall remain in full force and effect. This Addendum shall be effective as of _________ (the "Effective Date").

Item 1 - Term (Required)
The term (the “Term”) of this Addendum shall begin on ____date_______, the Effective Date and shall continue until
___date______ (the “Termination Date”); provided, however, that if the parties have not agreed on the terms of a new
Addendum or an amendment to this Addendum extending the Term (and providing for any other agreed changes to this
Addendum) as of the Termination Date, and the Agreement is still in effect, this Addendum shall continue in full force and
effect until such time as the parties have either agreed upon the terms of a new Addendum or an amendment to this
Addendum as described above or the Agreement has been terminated in accordance with its terms.

Item 2 - Price Effective Definition (Required)
With respect to all Products delivered FOB/FDC to a Selected Buyer, the Price for each Product shall be the Price in effect as
of the date [CHOOSE ONE: [the Product is ordered by the Selected Buyer] [the Product is delivered to the Selected Buyer]

Item 3 - Product Price Term and Change Frequency (Required)

The Price for each Product mutually agreed upon and set forth in CPS (per the process set forth in Section 3 of the
Agreement) shall remain fixed for a period of [CHOOSE ONE: [ _ year(s)] [ _ month(s)] (the “Pricing Period”). The Price for a
Product may not be updated or amended prior to the expiration of the Pricing Period except upon the mutual agreement of
the Co-op and Supplier.

The Price(s) for each Product mutually agreed upon and set forth in CPS (per the process set forth in Section 3 of the
Agreement) shall remain fixed for X months from the start date. Thereafter, the Price for a Product may only be updated or
amended upon mutual agreement of the Co-op and Supplier, and any pricing change mutually agreed to by Co-op and
Supplier shall not take effect until 30 days after such mutual agreement (except in cases where the Co-op expressly agrees
to a shorter notice period). If Co-op and Supplier are unable to agree upon any change in the Price(s) pursuant to this
Agreement, the then-effective Price(s) shall remain effective until otherwise agreed to by the parties or the Agreement is
terminated in accordance with the terms thereof.

Item 4 - Products (Required)
Products may be added or removed under the terms of the addendum as mutually agreed upon by Supplier and CSCS and
set forth in CPS.

Item 5 - Timing Requirements for Price Changes (Required)

Unless otherwise communicated, updated Prices (as mutually agreed upon between the Supplier and the Co-op) for each
subsequent Pricing Period shall be loaded into CPS by Supplier no later than the 5th of the month prior to the expiration.
 For example, if the current Pricing Period ends on August 31 , updated pricing for the new Pricing Period beginning

on September 1 must be submitted by the Supplier through the CPS by August 5th.
