Distributor by the Supplier.
“Temporary Route Change” means a route change that is in effect for less than two weeks.
2.0 SCOPE OF SERVICES
2.1 Distributor’s Service Area.
Distributor will distribute Approved Products to the Restaurants of Operator listed in
Exhibit A, which may be amended from time to time by Operator. Such Restaurants will
be located in Distributor’s designated Service Area, as defined in Exhibit B (the “Service
Area”). Distributor may not distribute Approved Products to Restaurants outside of the
Service Area without the prior written consent of CSCS.
2.2 Approved Products for Distribution.
Distributor will purchase from Supplier, receive, warehouse and distribute for sale to the
Restaurants the Approved Products which may include, but are not limited to food, food
ingredients, supplies and non-food items from the following categories: dairy, frozen and
refrigerated items, poultry, meat, seafood, canned and dry goods, beverages, bar supplies,
frozen bakery, soft drink syrup products, paper and disposables, janitorial supplies,
including cleaning chemicals, and other non-food products requiring frequent replacement.
Distributor may not distribute any items, food or other products which are not Approved
Products or otherwise approved by DineEquity and designated by CSCS.
2.3 Excluded Products.
Smallwares and produce are specifically excluded from the terms and conditions of this
Agreement, unless Operator elects to include such items, subject to mutual agreement of
the parties as to the specific terms of such inclusion. The parties will incorporate such
additional items and terms in an amendment to this Agreement.
