Executive Summary                                                                                           OVERVIEW





           The International Sporting, Event and Entertainment Association (INSEA™) is a registered non-profit
           organisation which was founded in November 2017 by Stadium Management SA (SMSA) and
           Legal | HELP™.

           Stadium Management SA (SMSA) is South Africa’s leading stadium management group managing
           four multi-million Rand venues in Johannesburg: the iconic FNB Stadium, historic Orlando Stadium,
           Dobsonville Stadium and the Rand Stadium. These government-owned venues are privately and
           independently administered by SMSA on a full financial risk basis. SMSA were appointed by the City of
           Johannesburg in 2009.

           In contrast to other management fee based/municipal council based stadium management operations,
           SMSA is responsible for all the costs in managing the stadium. SMSA is self-funded and does not
           receive any management fee, subsidy or grant.


           SMSA are experienced industry experts and have excelled and received over 27 awards locally and
           internationally, such as Winner 2017 International Arch of Europe (IAE) Award; Winner 2017 Europe
           Business Assembly Enterprise of the Year Award and Winner 2017 Europe Business Assembly Europe
           Trading License Award, to mention but a few.

           Legal | HELP™ is a strategic legal compliance consulting firm with over 200 years of legal experience
           within its network of affiliated legal professionals, covering all aspects of the laws as confined within the
           Republic of South Africa. Legal | HELP™ have 15 affiliated offices nationwide.

           The financial year of INSEA™ runs from January to December of each year. According to its constitution,
           the executive committee is elected annually by the registered members of the association which is in
           good standing at an annual general meeting. The executive committee must appoint an objective and
           independent management contractor to take care of the day to day affairs of the association, ensuring
           that its various functions are effective, sufficient and operational.
