1. โครงสร้างของคณะกรรมการผลิตภัณฑ์
Product Governance Committee Structure
1.1 คณะกรรมการผลิตภัณฑ์จะต้องได้รับการแต่งตั้งจากคณะกรรมการบริษัท
Product Governance Committee must be appointed by the Board of Directors.
1.2 คณะกรรมการผลิตภัณฑ์ต้องมีความเหมาะสมกับลักษณะ ขนาด และความซับซ้อนของธุรกจ

เพื่อให้บริษัทฯ ด าเนินธุรกิจอย่างเป็นธรรม โปร่งใส รับผิดชอบต่อผู้มีส่วนได้เสียภายใต้หลักการก ากับ
ดูแลกิจการที่ดี และสร้างคุณค่าให้บริษัทฯ อย่างเหมาะสมในระยะยาว
Product Governance Committee must be appropriate with business characteristics, size,
and complexity. Therefore, the Company is able to conduct the business with fairness,
transparency, responsibility to stakeholders under the Corporate Governance Code
and long-term value creation.
1.3 คณะกรรมการผลิตภัณฑ์ต้องมีความรู้ ความสามารถ ประสบการณ์ที่เพียงพอ เข้าใจถึงคุณสมบัติ
หน้าที่และความรับผิดชอบของตน และต้องมีลักษณะตามเกณฑ์ดังต่อไปนี้
Product Governance Committee must have sufficient knowledge, capability and
experience as well as understand their qualifications, duties and responsibilities.
It must also follow these criteria.
1.3.1 กรรมการผลิตภัณฑ์อย่างน้อยหนึ่ง (1) คนต้องเป็นกรรมการในคณะกรรมการบริษัท หรือ
เป็นผู้บริหารของบริษัทฯ หรือเป็นผู้ทรงคุณวุฒิที่มีความรู้ความเข้าใจเกี่ยวกับผลิตภัณฑ์
At least one member of the Product Governance Committee must be
a director of the Board of Directors or the Company’s executive or expert that
has knowledge and understanding about products.
1.3.2 กรรมการผลิตภัณฑ์รายอื่นต้องเป็นหัวหน้าหน่วยงาน หรือเป็นผู้ที่มีความเชี่ยวชาญเทียบเท่า
หัวหน้าหน่วยงาน ซึ่งท าหน้าที่เกี่ยวกับการออกผลิตภัณฑ์ อันได้แก่การพัฒนาผลิตภัณฑ์
คณิตศาสตร์ประกันภัย การลงทุน กฎหมาย การดูแลการปฏิบัติตามกฎหมาย การบริหาร
ความเสี่ยง และการปฏิบัติการ เป็นอย่างน้อย
Other members of Product Governance Committee must be division
executives or experts with the level of expertise equivalent to the division
executive in charge of, at least, product development, actuarial science,
investment, law, compliance, risk management, and operations.
