พ.ร.บ. บริษัทมหาชน จ ากัด พ.ศ. 2535 มาตรา 68
กรรมการต้องเป็นบุคคลธรรมดา และ
(1) บรรลุนิติภาวะ
(2) ไม่เป็นบุคคลล้มละลาย คนไร้ความสามารถ หรือคนเสมือนไร้ความสามารถ
(3) ไม่เคยรับโทษจ าคุกโดยค าพิพากษาถึงที่สุดให้จ าคุกในความผิดเกี่ยวกับทรัพย์ที่ได้กระท าโดยทุจริต
(4) ไม่เคยถูกลงโทษไล่ออกหรือปลดออกจากราชการ หรือองค์การ หรือหน่วยงานของรัฐ ฐานทุจริตต่อหน้าที่
Public Limited Companies Act B.E. 2535 Section 68
The Directors shall be natural persons and shall
(1) be sui juris;
(2) not be bankrupt, incompetent or quasi-incompetent;
(3) not have been imprisoned by a final judgment to a term of imprisonment for an offense
against property with dishonest intent;
(4) not have been expelled or removed from the official service, a state organization or
a state agency on the ground of dishonest performance of duties.
