     POSITIONS & RESPONSIBILITIES                                                   VICE PRESIDENT
                                                                                    OF THE BOARD

     EVERY MEMBER OF  THE BOARD OF DIRECTORS HAS IMPORTANT                              Res p on s ibil i t ies
     RESPONSIBILITIES THAT ARE UNIQUE TO HIS/HER POSITION ON THE BOARD.
     IT  IS  IMPORTANT THAT  EACH  MEMBER  OF THE  BOARD  UNDERSTAND WHAT           ►  Performs the duties of the Chairman as required  ►  During  the  period  when  the  Chairman  is
