b) Any one or more of the Primary Beneficiaries who are deceased at that time have left
Children in which case the share of capital of and remaining Net Income of the trust
to which that Primary Beneficiary would otherwise have been entitled is to be held
upon trust for those Children as tenants in common in equal shares; but
c) If none of the Primary Beneficiaries are living and have left no Children, then upon
trust for the Legal Personal Representative of the estates of the Primary Beneficiaries
and if more than one as tenants in common in equal shares.

38. Consent of the Appointor Required

Notwithstanding any other provision of this Schedule, the written consent of the Appointor
shall be required before the Trustee may:
a) Amend the terms of the trust;
b) Nominate an earlier Vesting Date;
c) Distribute or apply capital other than to a Primary Beneficiary prior to the Vesting
Date;
d) Distribute or apply capital or Net Income other than to a Primary Beneficiary at the
Vesting Date;
e) Separate any part of the trust to hold the same on separate trust;
f) Lend trust monies other than at market rates or interest other than to a Primary
Beneficiary;
g) Permit the use of trust property without a charge, or at a nominal charge other than
to a Primary Beneficiary; or
h) Make an election under subclause headed “General Beneficiaries”, above.
