               addition, the CEO must have excellent people skills necessary to foster an environment that
               supports accountability, teamwork, continuous improvement, and innovation while at the same
               time striving to exceed a high level of expectations.

               This CEO will be walking into a stable and profitable organization, well-known and respected
               within  their  industry.   While  there  are  things  the  business  does  very  well,  there  is  also

               significant  opportunity  not  currently  being  captured.   The  incoming  CEO  will  have  the
               opportunity to assess and refine the company go-to-market strategy to address the broader
               changes in their industry. There are realistic opportunities to target new segments of customers
               through new channels creating an exciting platform for a successful, proven CEO to make their
               mark once again.


                                                REPORTING STRUCTURE


               The  Chief  Executive  Officer  will  report  directly  to  the  Board.  Reporting  to  this  position  will
               include all sales, marketing, finance and operations personnel, which today includes eight direct
               reports. As a growing company that will include both organic and acquisitive activities, it will be

               incumbent upon the Chief Executive Officer to assess and develop the capabilities of the staff
               commensurate with the future velocity of growth, and recruit additional staff to fill in the gaps
               as needed.

                              RESPONSIBILITIES / SUCCESS FACTORS / COMPETENCIES



               Will include, but not limited to the following:
                 Ability  and  experience  in  developing  and  communicating  a  clearly  defined  and  concisely
                   communicated Vision, Mission and Strategy.
                 Experience in developing, communicating and executing forward looking multiyear business
                   plans that fit the agreed strategy.
                 Successful  track  record  of  developing  and  executing  Growth  Strategies  in  the  type  of
                   business and that fit the company’s strategy.
                 Demonstrated  track  record  of  creating  and  implementing  meaningful  Operational
                   Excellence initiatives that fit the company’s strategy.
                 Demonstrated track record of ability to recruit and retain great group of senior executive
                   direct reports that are capable of driving the organization to meet its Vision and Mission by
                   executing the Strategy.
                 Direct  Marketing  expertise  in  B-to-B  environment,  including  copywriting,  brand
                   development, digital tools (PPC, SEO, re-targeting), email campaigns, catalog, square inch
