EMPLOYMENT OF RELATIVES


                   The Company does not have a general prohibition against hiring
                   relatives.  However,  an  employee  will  generally  not  be  hired,

                   transferred,  or  promoted  into  a  position  where  they  will  be
                   managed, directly or indirectly, by a family member or romantic
                   partner.  Other  factors  may  also  be  considered  when  hiring  a

                   relative or romantic partner of a current employee, placing them
                   in  a  particular  position,  or  creating  reporting  relationships.  The

                   Company  may  transfer  an  employee  or  otherwise  change  their
                   employment status at any time for any reason, including to avoid

                   the appearance of favoritism or other conflict of interest.
