1. PRESENT:
The National Council Members listed in the attendance register of the meeting were
present at the meeting and were jointly sufficient to constitute a quorum for a validly
constituted meeting of the National Council and for a vote to be called on any resolution
tabled before the National Council at the meeting.
2. BACKGROUND
2.1 In terms of clause 23 of the current constitution (“Constitution”) of SAPPO, the
Constitution may only be repealed, substituted, amended or added to, by resolution
of the National Council at a National Annual General Meeting.
2.2 In terms of clauses 13.2.3 and 13.5.2 respectively of the Constitution, meetings of
the National Council, and the National Annual General Meeting may not be held or
participated in, by way of Electronic Communication, as defined in the Constitution.
2.3 Pursuant to the outbreak of the COVID-19 (Coronavirus) pandemic, the
Government of the Republic of South Africa declared a national state of disaster in
terms of the National Disaster Management Act (Act no. 57 of 2002), and instituted
various regulations regulating and limiting, inter alia, the movement and gathering
of persons (“Regulations”). Over and above the limitation placed on movement
and gathering of persons by the Regulations, the National Institute for
Communicable Diseases have also further advised that persons advanced in age
and/or with comorbidities need to be extra vigilant, avoid unnecessary gatherings
of persons and remain home-based as far as possible.
2.4 In light of the indefinite continuance of the COVID-19 (Coronavirus) pandemic, the
national state of disaster, and the limitation on the gathering of persons, the
Executive Board of SAPPO has proposed that the Constitution be amended to
allow for the conduct in its entirety, of National Council meetings, as well as the
