              Working Relationships

              Kontoor Brands allows the employment of relatives under certain conditions. For purposes of this
              policy, “relative” includes:

                     1. The employee’s spouse, domestic partner, brother, sister, parent, grandparent,
                         grandchild, child or stepchild
                     2. The employee’s spouse’s (or domestic partner’s) brother, sister, parent,
                         grandparent, grandchild or child
                     3. Any other member of an employee’s household

              To assure fair treatment, Kontoor Brands will not employ, hire or transfer an employee into a position
              where the employee does or would directly supervise or be directly supervised by a relative. Similarly,
              Kontoor Brands will not employ, hire or transfer employees into a position where they are or would be
              involved in decisions related to hiring, compensation, evaluation, promotion or termination of a relative.

              Romantic relationships between supervising or managing employees and subordinates are strictly
              prohibited. If a manager, supervisor or other employee in a sensitive or influential position has a
              romantic relationship with a co-worker, both employees must disclose the relationship to Kontoor
              Brands. Disclosure may be made to the next management level or Human Resources. If they disclose
              the relationship to the next management level, the manager must notify Human Resources. Human
              Resources and the manager, in appropriate consultation with others, will determine if a conflict of
              interest or other issue exists because of the relative positions of the individuals involved.

              Peer-to-peer romantic relationships are generally not prohibited. If, however, employees working in the
              same department or work group are in a romantic relationship, both employees must tell their
              managers and/or HR Business Partner the relationship exists so they can determine if there is potential
              for a conflict of interest or some other issue.

              Failure to report romantic relationships or work with the Company to resolve workplace issues that may
              arise from a romantic relationship may result in disciplinary action, up to and including termination of
              employment.
