              Retaliation Policy

              Kontoor Brands believes in open communication and expressing diverse, differing ideas as the best
              way to collaborate, solve problems and create a winning team. Kontoor Brands wants employees to
              express concerns, maintain integrity with colleagues and encourage each other to share ideas that
              contribute to the Company’s success.

              No employee is penalized for asking a question or voicing a concern in a reasonable, business-like
              way. Kontoor Brands encourages employees who have questions or concerns related to work to talk
              to their managers. In most cases, the manager is the best person to respond since they understand
              employees’ job duties and the context of the concern.

              Employees can also talk to:

                             1. Their manager’s manager or the next management level for their
                             position;
                             2. An HR Business Partner;
                             3. Their department head, division controller or brand Chief Financial Officer
                             (CFO);
                             4. Kontoor Brand’s Controller or CFO;
                             5. Kontoor Brand’s General Counsel or other members of the Law
                             Department;
                             6. Kontoor Brand’s Confidential Ethics Helpline.
              If an employee’s question or concern relates to accounting, internal controls or auditing, the employee
              must contact their division/brand controller or CFO. If the question or concern relates to discrimination
              or harassment, including retaliation related to discrimination or harassment protected activity, the
              employee should refer to Kontoor Brands’ discrimination and harassment policy complaint procedures.

              Employees should submit questions or concerns related to Kontoor Brand’s Code of Conduct,
              accounting, internal controls, auditing matters or possible violations of the Code, Kontoor Brands
              policies or the law to the Ethics Helpline. The Ethics Helpline is free, confidential and available 24
              hours a day, seven days a week. Employees can make reports anonymously, where allowed by law, if
              they do not want to be identified.

              Kontoor Brands strictly prohibits retaliation toward employees for reporting concerns in good faith or for
              participating in an internal investigation. If an employee believes they have witnessed or been the
              subject of retaliation, they should immediately report the concern.
