PREAMBLE

The signatory parties hereto intend to recall by way of introduction that their commitment is based on a human
relationship of trust and mutual understanding.

The parties also recall their common desire to participate in the human, environmental, social and economic
development of regional territories, starting with those of New-Caledonia as defined by Organic Law No. 99-209
of March 19, 1999 relating to New-Caledonia or by any comparable act which would replace it and the Republic
of Vanuatu.

To this end, the signatory parties insist on the specificity attached to the development of countries and groups
specific to Oceania in general, and more particularly relating to New-Caledonia.

This specificity is reflected in particular by the desire to involve the peoples of Oceania, and in particular
Melanesians, in their own economic development on customary lands and beyond them; to associate the vital
forces of Oceanian and Melanesian society, via the clan, the tribe, the chiefdom, the district, the customary area,
the customary senate through legal and administrative tools, with the flagship projects of the years to come, by
transcending the divisions of today to turn them into tomorrow’s handshakes.

The communities living in the Territory have acquired through their participation in the construction of New-
Caledonia a legitimacy to live there and to continue to contribute to its development. This also applies to the
Melanesian world, which is destined to fully take its place in the development of a typically Oceanian economic
development system, with new legal and financial mechanisms to meet the demands expressed in terms of
connection with the land, while promoting its enhancement, which milestones needs to be set.

As such, the signatories of this memorandum of understanding wish to participate in the benefit that the economic
world of New-Caledonia would have of the project management from the said entity Consultancy MY BUSINESS
CONSULTING, through its keyman, Mr. Laurent MAMATUI, whose vocation is to intervene in particular as a
business provider and management consultant, and to provide support in terms of legal engineering,
accompanying entrepreneurs and companies in Oceania and abroad, of training and provider of legal solutions.

This common will is hereby reaffirmed as the initial draft leading to the foundation of a sustainable partnership,
useful to the common cause of all the vital forces inhabiting the Territory.

From their shared vision, the signatory parties wish to recall their joint adhesion to this framework contract.

As part of the realization of various ongoing projects and in particular of economic development projects
specifically relating to the Territory of New-Caledonia, (hereinafter referred to as "the development project") the
Disclosing Party aims to enable the economic development of the country by promoting the enhancement of local
human and capital resources, environmental, land, economic and social matrix resources.
