Consequently, the receiving party's adhesion to this confidentiality framework agreement is indivisibly applicable
to it.

Penalty clause: Ignorance or non-compliance, including by error or omission, being constitutive of a disclosure of
the Confidential Information or of part of the Confidential Information only as described in this framework
confidentiality agreement as well as in any agreement, endorsement, addendum, additional protocol,
complementary to these presents will oblige the defaulting Receiving Party to pay to the Disclosing Party a sum
corresponding to FOUR PERCENT (4%) of the total amount of the project subject of this cooperation as a penalty
clause.

Applicable law: This agreement is subject to French law in the version applicable to New-Caledonia.

Jurisdiction Clause: Any dispute between the Parties relating to the validity, interpretation or execution thereof
shall be submitted to the competent courts within the jurisdiction of the Noumea Court of Appeals, unless there
are mandatory rules to the contrary.
