It has been agreed and decided as follows:

I: Confidentiality attached to business secrecy

In the context of this agreement, the terms " Confidential Information " cover in particular data, databases,
reports, studies, forecasts, contracts, analysis, compilations, notes, tables, drawings, graphics, diagrams, plans,
concepts, equipment, models, samples, prototypes, software, computer developments, materials or recordings
and more generally, all written or printed documents, all computer files, editions, representations, or digital
prints, as well as all written or oral information, in particular commercial, financial, administrative, legal or
technical documents, belonging to the Disclosing Party.

The Confidential Information is notably contained in all the documents to be communicated by the Disclosing
Party, as related to the operation described in the preamble, but also in responses as well and in all the written
and/or oral exchanges which will ensue.

The Disclosing Party gives no express or implicit guarantee as to the accuracy or completeness of the Confidential
Information, nor as to its suitability for the objectives pursued by the Receiving Party in the context of the
operation.

The receiving party undertakes that the Confidential Information:

a) Are held in strict secrecy;

b) Are only disclosed internally to the only members of its staff needing to know about it as well as to its
advisers or external service providers bound by the same confidentiality obligations as those provided
for herein and exclusively dedicated for the defined purpose in the preamble to this Agreement;

c) Not be used, full or partial, for any purpose other than those defined by this agreement, without the
prior written consent of the Disclosing Party;

d) Not disclosed or likely to be disclosed, either directly or indirectly, to any third-party or to any persons
other than those mentioned in paragraph (b) above;

e) Are neither copied, nor reproduced, nor totally or partially duplicated whenever such copies,
reproductions or duplications are not for its own needs or have not been authorized by the Disclosing
Party and this, expressly and in writing.
