Notwithstanding any clause to the contrary, each signatory likely to process personal data for his own account and
without any instructions from third-party is considered to be responsible for the processing of personal data.

It is essential to remember that each signatory likely to act as a data controller within the meaning of the
regulations remains responsible for the personal data processing that is specific to him.

A controller is the natural or legal person, public authority, agency or other body which, alone or jointly with
others, determines the purposes and means of processing.

AS A RESULT OF THE ABOVE

THE RECEIVING PARTY MAKES THE FOLLOWING STATEMENTS:

The receiving party and/or its representative:

• Undertakes to preserve the confidentiality of the Confidential Information that will be communicated to
him, whether this information is disclosed orally, in writing, graphically or electronically.

Confidential Information is defined, in addition to what is recalled above, as all information of any kind and in
particular, and without limitation, technical information, all commercial information, price lists, customer lists,
supplier lists, pricing, discount and invoicing policies, offers, databases, market studies, models, materials, know-
how, drawings and plans, computer data, personal data, etc.

All those Confidential Information remain the exclusive property of the Disclosing Party who brings it to the
attention of the Recieving Party who receives it.

The Disclosing Party and/or its representative:
• undertakes not to disclose or allow the Confidential Information to be disclosed to third parties, in any

way whatsoever.
• undertakes to take all necessary measures, in particular with its employees and/or collaborators, so that
the Confidential Information transmitted is not disclosed or transferred to third parties.

• undertakes to use the Confidential Information for the only needs of the cooperation project. Confidential
Information may thus only be communicated to employees or collaborators whose functions justify their
knowledge, who must be duly informed of the existence of the Agreement and of the confidential nature
of the information communicated.
